TYPES OF COMPANIES
In Mexico, our legal types of corporations and partnerships have both the benefit of what is called “a corporate veil.” That means that the corporation has its legal personality and patrimony, which is different and apart from its partners. Therefore, the company’s liabilities and debts, by general rule, do not pass on to the partners or shareholders, unless it exists a crime committed by such partners.
The most known and used types of legal forms to incorporate in Mexico are Sociedad Anonima (corporation), and Sociedad de Responsabilidad Limitada (partnership). Both have a corporate veil, but have fundamental differences:
Sociedad Anonima
In a Sociedad Anonima, the equity is represented by share titles that allow its holder to transfer such shares by endorsing them.
Sociedad de Responsabilidad Limitada
Meanwhile, to become a Sociedad de Responsabilidad Limitada stockholder, it is needed to make a stockholder’s meeting to be accepted as such.
